1. Acceptance of Terms

By accessing or using the Thrive platform operated by TeamOptix, LLC ("TeamOptix", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform.

2. Description of Service

Thrive is a coaching and teacher observation/evaluation platform that provides tools for professional development, classroom observation, evaluation management, analytics, and team collaboration within educational organizations.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information when creating your account and to notify us promptly of any unauthorized access. You may not share your account or allow others to access your account.

4. Acceptable Use

You agree to use Thrive only for its intended purpose and in compliance with all applicable laws. You shall not:

• Attempt to gain unauthorized access to the platform or other users' data
• Use the platform to transmit malicious software or harmful content
• Interfere with or disrupt the platform's operations
• Copy, modify, or distribute any part of the platform without authorization
• Use the platform for any purpose other than authorized coaching, observation, and evaluation activities

5. Organization Access

Access to Thrive is provided through your organization. Your organization's administrators control membership, permissions, and access to data within the platform. If your organization terminates its agreement with TeamOptix or deactivates your membership, your access will be suspended.

6. Data Ownership

Your organization retains ownership of all data entered into the platform, including observation records, evaluation data, coaching notes, and survey responses. TeamOptix does not claim ownership of user-generated content.

7. Service Availability

We strive to maintain the availability of Thrive but do not guarantee uninterrupted access. The platform may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

8. Intellectual Property

The Thrive platform, including its design, code, features, and documentation, is the intellectual property of TeamOptix, LLC. You are granted a limited, non-exclusive, non-transferable license to use the platform as authorized by your organization's subscription.

9. Limitation of Liability

To the fullest extent permitted by law, TeamOptix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the amount paid by your organization for the services during the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless TeamOptix, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the platform or violation of these terms.

11. Modifications to Terms

We may update these Terms of Service from time to time. Continued use of the platform after changes are posted constitutes acceptance of the revised terms. We will make reasonable efforts to notify users of material changes.

12. Termination

We reserve the right to suspend or terminate access to the platform for violations of these terms or for any other reason at our discretion, with reasonable notice when possible.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
